HOLLAND, Justice: The plaintiff-appellant, Salvatore J. Giammalvo (""Giammalvo""), brought this action against Sunshine Mining Company and certain of its directors (collectively ""Sunshine Mining""). Giammalvo challenged, inter alia, Sunshine Mining's failure to redeem Cumulative Redeemable Preferred Stock (the ""Preferred Stock"").
